Terms of Use

Nexoryx One is a business-to-business (B2B) platform. You must be at least 18 years old and using Nexoryx One for legitimate business purposes on behalf of a business, organisation or professional capacity, not as a consumer.

Where an account is required to use Nexoryx One, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account or any other security breach you become aware of.

You are responsible for ensuring that individuals granted access under your organisation's account are authorised to use Nexoryx One and comply with these Terms and our Acceptable Use Policy.

We aim to keep Nexoryx One available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out planned maintenance, and from time to time features may be unavailable due to circumstances outside our reasonable control.

We may offer certain features on a beta, preview or "coming soon" basis. Such features are provided as-is, may change or be withdrawn at any time, and may be less reliable than generally available features.

Nexoryx One is designed to connect to third-party platforms and services that you choose to integrate (for example, advertising, analytics, commerce, CRM and finance platforms). We are not responsible for the availability, accuracy or content of third-party services, and your use of them is subject to their own terms. You are responsible for having the necessary rights, permissions and accounts to connect any third-party service to Nexoryx One.

You are responsible for the accuracy, quality and legality of data you connect to or input into Nexoryx One, and for ensuring you have all necessary rights, consents and permissions to do so, including under applicable data protection law. You must comply with these Terms, our Acceptable Use Policy, and all applicable laws when using Nexoryx One.

Nexoryx One's ownership

Nexoryx One and its licensors own all right, title and interest in and to the Nexoryx One platform, including its software, design, branding, documentation and underlying technology. Nothing in these Terms transfers any of that intellectual property to you, except the limited right to use the platform as set out here.

Customer ownership of customer data

You retain all ownership rights in the data you connect to, upload to, or generate within Nexoryx One ("Customer Data"). We claim no ownership over Customer Data.

Licence to process Customer Data

You grant Nexoryx One a limited, non-exclusive licence to host, process, transmit, analyse, transform and display Customer Data solely as necessary to provide, secure, maintain and improve the service for you, subject to these Terms, any applicable order form or agreement, and our Privacy Policy. You must have appropriate rights and permissions to connect or upload any third-party data, including personal data, to Nexoryx One.

Nexoryx One may use artificial intelligence, machine learning, automated analysis and decision-support systems, including our Captain AI feature, to help analyse your connected data. Outputs from these systems may include summaries, recommendations, forecasts, predictions, anomaly detection, root-cause analysis, suggestions, insights and other business decision support.

You acknowledge and agree that:

• AI-generated outputs can contain inaccuracies or errors and should be independently reviewed before being relied upon for important business decisions.
• Nexoryx One does not guarantee that AI outputs will be complete, accurate, reliable or appropriate for every situation.
• AI outputs do not constitute legal, financial, tax, medical or other regulated professional advice, and should not be treated as such.
• You remain solely responsible for decisions made using Nexoryx One, including decisions informed by AI-generated outputs.

You must not misuse Nexoryx One. Our full Acceptable Use Policy sets out prohibited activities in detail, including unauthorised access, security attacks, misuse of Captain AI, and other activity that could harm Nexoryx One, other users or third parties. The Acceptable Use Policy forms part of these Terms.

We may suspend or restrict your access to Nexoryx One where we reasonably believe you have breached these Terms or our Acceptable Use Policy, where necessary to protect the security or integrity of the service, or as required by law. Where you have a separate agreement with us, termination is governed by the terms of that agreement; otherwise, either party may stop using or providing the service by giving reasonable notice.

We may update, modify or discontinue features of Nexoryx One from time to time. We will use reasonable efforts to avoid materially reducing the core functionality relied on by existing customers without reasonable notice, except where changes are required for security, legal or operational reasons.

Except as expressly stated in a signed agreement between us, Nexoryx One is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Nexoryx One will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of Nexoryx One. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.

Where legally appropriate and set out in a signed agreement between us, you may agree to indemnify Nexoryx One against claims, losses and expenses arising from your breach of these Terms, misuse of the service, or infringement of third-party rights through data or content you connect to Nexoryx One.

Each party may have access to confidential information of the other in connection with the use of Nexoryx One. Each party agrees to use the other's confidential information only as necessary to perform its obligations, and to protect it with reasonable care, except where disclosure is required by law.

Our collection and use of personal data is described in our Privacy Policy. Where Nexoryx One processes personal data on your behalf as a data processor, the data protection terms of your agreement with us (including any data processing agreement) apply in addition to these Terms.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or your use of Nexoryx One, without prejudice to any mandatory consumer or local protections that may apply to you.

We may update these Terms from time to time. We will update the "Last updated" date at the top of this page when we do, and material changes will be communicated where reasonably practicable. Continued use of Nexoryx One after changes take effect constitutes acceptance of the updated Terms.
